1. Acceptance of Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, “you”, or “your”) and JASS Media Agency (“Company”, “we”, “us”, or “our”), operating from Hyderabad, Telangana, India, in accordance with the Indian Contract Act, 1872 and the Information Technology Act, 2000.
By accessing or using the Website at jassmediaagency.com, submitting any enquiry form, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of the Website immediately.
Important Notice
These Terms apply to all visitors, prospective clients, existing clients, and content creators who access or use our Website or services. Use of this Website constitutes acceptance of these Terms as an electronic record under the IT Act, 2000.
2. Our Services
JASS Media Agency provides influencer marketing and growth solutions, including but not limited to:
- Influencer identification, vetting, and campaign management
- User-generated content (UGC) strategy and creator partnerships
- Social media growth consulting and content strategy
- Brand-creator collaboration facilitation
- Campaign performance tracking and reporting
- Personal branding and lead generation services
The specific scope of services, deliverables, timelines, and fees applicable to each engagement shall be set out in a separate written agreement or Statement of Work (“SOW”) executed between the parties. In the event of any conflict between these Terms and a specific SOW, the SOW shall prevail to the extent of the conflict.
3. Eligibility
To use this Website and engage our services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872
- If acting on behalf of a company or organisation, you have full authority to bind that entity to these Terms
- You are not barred from receiving services under any applicable law in India or any other jurisdiction
- All information you provide to us is accurate, current, and complete
4. Use of the Website
4.1 Permitted Use
You may use this Website solely for lawful purposes and in accordance with these Terms including to learn about our services, submit enquiries, and review our creator portfolio.
4.2 Prohibited Conduct
You agree not to:
- Use the Website in any manner that violates the IT Act, 2000, or any other applicable Indian law
- Scrape, crawl, or harvest any content or data from the Website without written permission
- Upload or transmit any malicious code, virus, or harmful content
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to gain unauthorised access to any part of the Website or its systems
- Use the Website in any manner that could damage, disable, or impair the Website or interfere with other users
We reserve the right to terminate access to the Website for any user who violates these provisions, without prejudice to any other legal remedies available under the IT Act, 2000 and the IPC/BNS.
5. Intellectual Property
All content on this Website including but not limited to text, graphics, logos, photographs, video, creator data, and campaign case studies is the exclusive property of JASS Media Agency or its licensors and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999 of India.
You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for personal, non-commercial purposes. No content may be reproduced, distributed, modified, publicly displayed, or used to create derivative works without our prior written consent.
5.1 Creator Content
Content created by influencers and content creators as part of a campaign engagement shall be governed by the specific licensing terms agreed in the relevant SOW. JASS Media Agency acts as an intermediary and does not claim ownership over creator-generated content except as expressly agreed.
5.2 Client Materials
You grant JASS Media Agency a non-exclusive licence to use your brand assets (logos, product images, brand guidelines) solely for the purpose of executing the agreed campaign. We will not use your brand assets for any other purpose without your written consent.
6. Confidentiality
Both parties acknowledge that in the course of an engagement, each may receive confidential information of the other (“Confidential Information”), including but not limited to business strategies, pricing, campaign briefs, creator data, and audience insights.
Each party agrees to: (a) keep Confidential Information strictly confidential; (b) not disclose it to third parties without prior written consent; and (c) use it solely for the purposes of the engagement. This obligation survives termination of the engagement for a period of 2 years.
7. Payment & Engagement Terms
Fees for services shall be as agreed in the applicable SOW or proposal. Unless otherwise specified:
- A non-refundable advance (typically 50%) is payable upon signing of the SOW
- The balance is due upon completion of the agreed deliverables
- All amounts are in Indian Rupees (INR) and exclusive of applicable Goods and Services Tax (GST)
- GST shall be charged at the applicable rate under the CGST/IGST Act as applicable
- Late payments shall attract interest at 18% per annum from the due date
We reserve the right to suspend services if payment is overdue by more than 15 days, without prejudice to our right to recover outstanding amounts.
8. Disclaimers
The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, JASS Media Agency disclaims all warranties, express or implied, including:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any guarantee that the Website will be uninterrupted, error-free, or free of viruses
- Any guarantee of specific campaign results, follower growth, or return on investment
Past campaign performance referenced on the Website is illustrative only and does not guarantee similar results for future campaigns. Influencer marketing outcomes are subject to platform algorithm changes, audience behaviour, and market conditions beyond our control.
9. Limitation of Liability
To the maximum extent permitted under Indian law, JASS Media Agency shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunity, or goodwill
- Damages arising from third-party platform changes (Instagram, YouTube, LinkedIn, etc.)
- Damages resulting from delays or failures caused by circumstances beyond our reasonable control
Our aggregate liability to you for any claim arising from our services shall not exceed the total fees paid by you to us in the 3 months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under applicable Indian law.
10. Indemnification
You agree to indemnify, defend, and hold harmless JASS Media Agency, its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:
- Your breach of these Terms
- Your violation of any applicable Indian law or third-party rights
- Any misleading, false, or infringing materials you provide to us for campaign purposes
- Any claim by a third party arising from content or campaigns you directed us to execute
11. Termination
Either party may terminate an engagement with 15 days’ written notice, unless a specific termination provision is set out in the SOW.
We reserve the right to immediately suspend or terminate your access to the Website or our services, without notice, if you breach these Terms, engage in unlawful conduct, or cause harm to JASS Media Agency or third parties.
Upon termination: (a) all outstanding fees become immediately due; (b) each party shall return or destroy the other’s confidential information; and (c) clauses that by their nature should survive shall continue to apply (including Confidentiality, IP, Liability, and Governing Law).
12. Force Majeure
Neither party shall be liable for any delay or failure to perform obligations under these Terms caused by circumstances beyond their reasonable control, including acts of God, natural disasters, pandemic, war, government action, social media platform outages, or internet service disruptions. The affected party shall promptly notify the other and both parties shall use reasonable efforts to mitigate the impact.
13. Governing Law & Dispute Resolution
13.1 Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the Republic of India. The parties expressly submit to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.
13.2 Dispute Resolution
In the event of any dispute arising from or relating to these Terms or our services, the parties shall first attempt resolution through good-faith negotiation for a period of 30 days from the date of written notice of dispute.
If the dispute is not resolved through negotiation, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in the English language, seated at Hyderabad, Telangana, India. The award shall be final and binding.
13.3 Consumer Disputes
Nothing in these Terms limits the rights of consumers under the Consumer Protection Act, 2019 to seek redressal through appropriate consumer forums.
